General Counsel

As many businesses grow, they find themselves needing more legal advice than they can afford with an outside firm, but without enough to justify the need for a full-time in-house general counsel. In this role, Clausen & Centrich serves as an outsourced general legal counsel, operating as a member of the business's management team—rendering strategic advice, servicing the day-to-day legal needs and managing those extraordinary legal affairs that justify the use of outside legal experts.

By outsourcing your general counsel, a client gains access to a full range of law firm resources, an ongoing relationship with attorneys who are familiar with your company, and predictable and consistent legal fees allowing you to budget for your legal expenses.

Clausen & Centrich offers outsourced general counsel services, which provide business with a range of services, including on-site, in-house counsel on a part-time basis or the option to conduct business remotely by teleconference. Clients can choose as little as one day on-site per month up to a few days per week. During that time, you can take advantage of an “in-house” attorney, without worrying about the billable hours. Fee arrangements are flat-fee for all matters other than litigation, which allows your business to more accurately budget for legal expenses.

Typical matters include:

  • Contract Drafting and Review
  • Corporate Governance Counsel
  • Regulatory Compliance
  • Lease and Real-Estate Matters
  • Employment Policy Drafting and Review
  • Labor Issues
  • Non-Disclosure/Confidentiality/Non-Compete Agreements
  • Dispute Resolution
  • General Legal Advice
  • Corporate Secretary
  • Formation of Subsidiaries and Affiliated Entities
  • Qualification to do Business in Foreign States
